If we try to negotiate for Karachi but can't get a deal, and then we attack to get Karachi anyway, it will make us look untrustworthy, and might scuttle any deal we do get.

If we don't include Karachi in the negotiations, then us attacking to get it is just business as usual and won't be viewed as a backstab.
Any major offensive against any of these warlords that happens within a year or so of the negotiations will be seen as, in some sense, a backstab. Certainly by those warlords! Never underestimate the human aptitude for rationalization. In this case, both their rationalization of the attack as a betrayal even if we never strictly promised not to do that, and OUR rationalization of a massive amphibious invasion on the same scale as Operation Downfall directed against a large slice of territory near the Bannerjee heartland as "just business as usual."

But seriously. I don't see the Bannerjees parting with the ability to besiege BZ-18 or tolerating the threat to their western flank without an equal or greater guarantee of their security. Granting territorial waters means we can keep our ships on our side and their ships on theirs:

Rather than trying to establish specific trade lanes, divvying up the south pacific between GDI and the Brotherhood of Nod would substantially deconflict the interests of the parties involved in this affair. While it would almost certainly allow Yao to be militarily reinforced, and politically propped up, and therefore unpopular with the Initiative's hardliners, it would also ensure that the Initiative can keep Brotherhood heavy assets south of Taiwan, and far from territory currently held by the Initiative.

So less confrontations at sea. The price is that we also allow Bannerjees, Bintang and Yao to support eachother by maritime trade, but they're already doing that by cargo sub. So we'd be giving up the opportunity to woe Yao over, but in exchange GDI and NOD grant each other the tools to deal with their main strategic weaknesses and make it mutually difficult to attack each other.

Basically, we don't ask for Karachi because we're prepared to take it anyway and I don't like the idea of having to give major concessions to Nod
We also don't get involved with the trade routes because that's up to the diplomats to decide. It'll probably IMO end up with Limited Navigation in that case which I'm fine with. Tech transfers because we have to at least ask for it. I don't care about the Mad Science meter going down because I'm perfectly happy with doing more Mad Science

Shifting the needle further from what had been agreed upon, the idea of allowing the Initiative to investigate carried supplies and pilot the ships while in waters within a reasonable distance of an Initiative coastline, would maximize security, but only at the cost of jeopardizing the deal entirely.

I don't see any point trying to influence where it happens. Not for 15 PS.
Seoul gives a bonus to GDI diplomats actually getting a deal, which I think is valuable - other locations give other benefits, which I presume are likely pretty good. They might not be definitely worth 15 PS, but we are on track to be getting *fucktons* of PS this plan.

They would be able to ship many times more by regular ship than they are transporting by sub. It's not a trivial price.

Yes, but this doesn't guarantee that it even happens at the location we suggest. The talks will be happening at a location, of which there will be some benefits of. All we are doing is spending at least 15 PS to slightly increase the chance of it being a specific location of our choice.
And that we are getting "fucktons" of PS this plan, does not mean that we couldn't be getting something much better with the 15 PS.

Honestly, Karachi is the most important thing. Limited Navigation or Territorial Waters, either works. Honestly, a Karachi Trade Route would work well for the Bannerjees, as that's a logi hub that could be useful for trade between GDI and them.

The diplomats will do a perfectly good job without us butting in and ruining things. If we start doing things like pushing for Karachi then we're trying to essentially push for a deal that is heavily unbalanced in our favour. It will then either crash and burn or the diplomats will have to give the Nod factions major concessions. I don't think that's a good idea
